NationVoice Communications LLC's Terms of Service (TOS) is issued to give our customers a clear understanding of what is expected of them while using NationVoice LLC's service. A customer is considered anyone who accesses our services at any point whether for free or for pay. All customers must familiarize and comply with the following terms. The following terms are between you (the "client" or "customer") and NationVoice, LLC. This Services Agreement (the "Agreement") contains the complete terms and conditions which govern your subscription of Ventrilo (http://www.Ventrilo.com/) hosting provided by NationVoice Communications LLC (http://www.NationVoice.com/). As used in this Agreement, "NationVoice" means NationVoice Communications (http://www.NationVoice.com/), and "Client", "you", or "your" means you. By clicking on the "Submit Order" button, you acknowledge that you have read the Agreement, and you agree to its terms and conditions and all policies posted on the NationVoice website (http://www.NationVoice.com/) As referred to in this Agreement, "website" refers to a World Wide Web site and "NationVoice website" refers to the site located at the URL http://www.NationVoice.com, or any other sites owned or maintained by NationVoice Communications LLC.

Modification

NationVoice Communications reserves the right to change any part of this agreement without notice and your use of the Website will be deemed as acceptance of this agreement. We advise users to regularly check the Terms of Service of this agreement. NationVoice Communications has complete discretion to modify or remove any part of this site without warning or liability arising from such action.

Payment Obligations

All NationVoice services are subscription based. Payment will be debited automatically from your PayPal account or Credit Card unless service is cancelled accordingly prior to your next invoice date.. On the anniversary date (monthly, quarterly, semi-annual, annual, or 24 months) from the date of registration, NationVoice shall either (1) request money from Client's paypal (Paypal.com) account (where such information is provided by Client at time of signup) whereas we will also deliver by e-mail an invoice to Client in accordance with the applicable Services fees for services rendered for the current month or (2) charge Client's credit card (where such information is provided by Client at time of signup). Where an invoice is delivered to Client, Client shall remit payment to NationVoice by no later than 2 days after the specified payment due date. NationVoice shall be entitled to immediately terminate this Agreement for Client's failure to make timely payments to NationVoice. If Client terminates this Agreement in accordance with Section 4 hereunder, Client shall be responsible for any outstanding fees owed to NationVoice and agrees to pay any and all fees incurred by Client. Because the Services are provided on a monthly or quarterly basis, Client will be responsible for Service fees incurred each month regardless of when Client provides notice of termination. Thus, for example, if Client provides notice to terminate on the 15th of a particular month, Client will still owe fees for the entire month and such fees will not be pro-rated or refunded. NationVoice, LLC reserves the right to refuse or cancel service without warning to any account holder. All accounts terminated or suspended do to policy violations will not be refunded. Accounts that are not collectible by NationVoice Communications may be turned over to an outside collection agency for collection. If your account is turned over for collection, you agree to pay NationVoice Communications a "Processing and Collection" Fee of not less than $150. If you desire to cancel your account, please follow the proper procedure to do this as outlined in this document.

Payment

All services from NationVoice Communications are subscription based. Upon purchase, you agree to be charged automatically on your PayPal account or Credit Card unless services have been canceled prior to your next invoice date.

PayPal Subscription Cancellations

The buyer is solely responsible for canceling PayPal subscriptions if he/she is to discontinue services. NationVoice Communications will not provide a refund to customers who fail or neglect to cancel a PayPal Subscription.

Clients acknowledge that if they cancel their Pay Pal subscription without requesting a cancellation, services will be immediately terminated. If a client has requested a cancellation of service, it is their responsibility for them to terminate any active PayPal subscriptions by visiting www.paypal.com

Credit Card Cancellations

The buyer must login at http://nationvoice.com/ and request the cancellation of their account by following the prompts provided to instantly cancel your service. The buyer can also request a written cancellation at least 10 days before the next invoice date in order to provide ample time for the account cancellation procedure.All cancellations must be submitted through the NationVoice online control center login. We will not accept account cancellations over the phone of by fax.

Subscription Service

All services with NationVoice Communications are subscription based services. This means the client is agreeing to a term to term subscription. A client who chooses to pay month to month, quarter to quarter, semi-annual to semi-annual and annual to annual agrees to be held liable for any and all charges until which time the client wishes to terminate service and must provide enough time per the Account Cancellation agreement which is 10 days prior to next billing cycle. Client understands that accepting this Terms of Service the client is agreeing to a Subscription based service and not a one time fee to clients card or paypal account.

Refund Policy

You may cancel your account with us at any time, and you will therefore not be billed for the next billing cycle. However, we do not issue any form of refund due to an early cancellation. All overcharges or billing disputes must be reported within five days of the time the dispute occurred. By reading this you hereby agree to not dispute a charge (create a charge back) with your credit card company. If you dispute a charge to your credit card issuer that, in NationVoice Communications sole discretion is a valid charge under the provisions of this document, you agree to pay NationVoice Communications an "Administrative Fee" of $150.

If or when a dispute is filed, NationVoice Communications reserves the right to suspend or cancel your service for the duration of the dispute, or for 30 days.

Account Cancellation

All requests for cancellation must be made in writing with at least 10 days notice. Requests to cancel can be sent to billing@nationvoice.com (with the subject line reading Cancellation) The e-mail must also come from the original account owner's email address used during sign-up. Client acknowledges and agrees that if the client does not receive any form of confirmation that NationVoice Communications did receive the cancellation request the client will contact NationVoice Communications back promptly to ensure cancellation has been received. Clients will receive an automatic reply from NationVoice Communications ticket system with a ticket id when e-mailing the cancellation department. This ticket id is sufficient evidence that you did indeed request to cancel service, client agrees to keep this ticket id handy in the even the client wishes to dispute a charge. Client agrees that NationVoice Communications will NOT take phone cancellations and all cancellations must be done via the cancellations email provided above, clients who state they canceled via phone will not be entitled to any reimbursement and will be held liable for services rendered.

Appropriate Use Of The Services

NationVoice Communications provides the services exclusively and makes no effort to edit, control, monitor or restrict the content of data other than as necessary to provide such services.

Client Content

Client agrees that it will not distribute, electronically transmit or display any materials supplied by Client - or through Client by a third party - to any NationVoice server in connection with Client's use of the Services which:

violate any state, federal or foreign laws or regulations;
infringe on any intellectual property rights (e.g., copyright, trademark, patent or other proprietary rights) of NationVoice or any third party;
are defamatory, slanderous or trade libelous;
are threatening or harassing;
are discriminatory based on gender, race, age or promotes hate;
violate any NationVoice policy posted on the NationVoice website (http://www.NationVoice.com/).
contain viruses or other computer programming defects which result in damage to NationVoice or any third party.

(Violators will have their accounts suspended without notice)

Service Agreement

NationVoice reserves the right to monitor its' networks to sustain proper utilization, along with avoiding abuse from outside influence. NationVoice reserves the right to reserve, suppress or filter any server/service that demonstrates inadequate administration.

Disclosure to Law Enforcement

This document specifically prohibits the use of our services for illegal activities. Therefore, Clients agree that NationVoice Communications may disclose any and all client information including assigned IP numbers, account history, account use, and any other account information to any law enforcement agency who makes a written request without further consent or notification to the Client. In addition NationVoice Communications shall have the right to terminate all services set forth in this Agreement.

Licensed Software Only

Client agrees to use Ventrilo (http://www.Ventrilo.com/) software in connection with Ventrilo's use of the software law & copyright law.

Service Eligibility

Our services are available only to, and may only be used by individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to children (persons under the age of 18). If you are a under the age of 18, you can use this service only in conjunction with, and under the supervision of your parents or guardians.

Refusal of Service Policy

NationVoice Communications reserves the right at its sole discretion to refuse or cancel any services provided, at any time. Violation of any of the NationVoice Terms of Service or Policies could result in a warning, suspension, or possible Refusal of Service. Accounts terminated due to policy violations and/or legal violations will not be refunded.

Threats and Demands

Any threat or demand of legal action, PayPal dispute, or charge back will immediately result in your account being canceled without refund.

False and/or Fraudulent Information

NationVoice Communications reserves the right to cancel any orders without notice or refund if customer information is found to be false or fraudulent. If a customer signs up with a false name, address, phone number, or any other information required for verification, the services will be deleted without a refund. NationVoice Communications reserves the right to investigate a customer if the supplied customer information is found suspicious of fraud. NationVoice Communications may ask for the customer to submit a Government Issued Photo ID for verification.

Client Liability And Indemnification

The parties agree that in no event shall NationVoice be liable to any third party for Client's breach or alleged breach of any of the terms and conditions set forth in this Agreement. Client agrees to defend, indemnify and hold harmless NationVoice from any and all expenses, losses, liabilities, damages or third party claims resulting from Client's breach or alleged breach of any Client obligations set forth hereunder.

NationVoice Communications will under no circumstance be liable for indirect, special, or consequential damages including any loss of business, revenue, profits, or data in relation to your use of the Website. Nothing within this Agreement will operate to exclude any liability for death or personal injury arising as result of the negligence of NationVoice Communications and its employees or agents.

All intellectual property of NationVoice Communications such as trademarks, trade names, patents, registered designs and any other automatic intellectual property rights derived from the aesthetics or functionality of the Website remain the property of NationVoice Communications. By using the Website you agree to respect the intellectual property rights of NationVoice and will refrain from copying, downloading, transmitting, reproducing, printing, or exploiting for commercial purpose any material contained within the Website.

Limitation Of Liability

IN NO EVENT SHALL NationVoice Communications LLC, BE LIABLE FOR DAMAGES RESULTING FROM LOSS OF DATA, PROFITS, USE OF THE NationVoice SITE OR ANY NationVoice PRODUCTS OR SERVICES, OR FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THIS AGREEMENT OR IN CONNECTION WITH ANY PRODUCTS OR SERVICES PROVIDED HEREUNDER.

Severance

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.

Indemnification

All customers agree to indemnify NationVoice LLC from any liability, claim, loss, damage or expense arising out of a customer's negligence in violating any term or conditions contained in this agreement or resulting from the use of NationVoice LLC's services. This means that if NationVoice Communications, LLC is sued because of a customer, the customer will pay all damages, costs, and attorney's fees.

Disclaimer

NationVoice Communications, LLC reserves the right to edit its policies contained in this document at any time without notice. It is our customer's job to continue to refer to this document. At no point shall NationVoice, LLC's lack of enforcement of these terms constitute a waiver. If you do not agree to all terms then you are not permitted to use NationVoice services.
